Welcome to HappierHorse (“HappierHorse,” “we,” “us,” or “our”), an independent brand operated by Happy Horse Studio. HappierHorse provides Happy Horse 1.0 AI video generation as a paid web service (the “Service”). By accessing or using our website at https://happierhorse.org (the “Website”), you agree to be bound by these Terms of Service (the “Terms”). Please read these Terms carefully. HappierHorse is an independent brand that provides Happy Horse 1.0 AI video generation as a paid service. HappierHorse is not affiliated with, endorsed by, or sponsored by Alibaba Group, the ATH AI Innovation Unit, or the open-source Happy Horse 1.0 project hosted at github.com/CalvintheBear/HappyHorse-1.0.

Trademark Acknowledgment: “Happy Horse 1.0” refers to the AI video generation model of that name. All names, logos, trademarks, and intellectual property associated with Happy Horse 1.0, Alibaba Group, and the ATH AI Innovation Unit are the property of their respective owners. Our use of the name “Happy Horse 1.0” is solely for the purpose of identifying the AI model that powers our Service and does not imply any endorsement, sponsorship, affiliation, or licensing relationship.

When you use HappierHorse, you are entering into a contract with Happy Horse Studio as the service provider. Any rights, claims, or obligations arising from your use of the Service are between you and Happy Horse Studio, not between you and any third-party rights holder.

You must be at least 18 years old or have reached the age of majority in your jurisdiction to use our Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms. We do not knowingly provide the Service to anyone under 18. If we learn that a user is under 18, we will terminate their account.

To access the Service, you must create an account using Google sign-in. You agree to provide accurate and up-to-date information during registration. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately at support@happierhorse.org if you suspect any unauthorized use of your account.

HappierHorse provides access to Happy Horse 1.0 AI video generation through a web interface. Users submit text prompts or reference images, and the Service returns generated video content. Generation requests are processed by upstream AI infrastructure providers on our behalf; HappierHorse does not host, train, or fine-tune the underlying Happy Horse 1.0 model weights.

The availability, quality, and speed of generation may vary depending on upstream provider capacity, server load, and other factors. We do not guarantee uninterrupted availability of Happy Horse 1.0 through the Service. If the upstream model becomes unavailable, we may temporarily suspend the Service or substitute a compatible alternative at our discretion.

Our Service operates on a credit-based system. Each generation consumes a certain number of credits depending on resolution, duration, and other parameters.

• Subscription Credits: Paid subscribers receive a monthly allocation of credits as part of their subscription plan. Monthly subscription credits are granted at the start of each billing cycle. Annual subscription credits are distributed monthly over the 12-month subscription period.
• Credit Expiration: Subscription credits are valid for the billing period in which they are issued. Unused subscription credits do not roll over to the next billing period.
• Generation Failure Refunds: If a generation fails due to a system or upstream provider error, the credits consumed for that generation will be automatically refunded to your account.
• Credit Pricing: The number of credits required for each generation varies by configuration. Current credit costs are displayed in the generation interface before you submit a request.

Ownership and Responsibility

You retain ownership of any content you upload or provide to the Service (such as reference images and text prompts). You are solely responsible for the content you create, upload, and share through the Service, including any Generated Content.

License to HappierHorse

By submitting content to the Service, you grant HappierHorse a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display such content for the purpose of operating and improving the Service. For content you make publicly visible, you grant us an additional license to display, distribute, and promote it on our platform and in our marketing materials.

Generated Content and Upstream Models

Generated Content is produced by the upstream Happy Horse 1.0 model. To the extent permitted by applicable law, you may use Generated Content for personal or commercial purposes, subject to these Terms, the usage terms of the upstream model, and any applicable laws. You acknowledge that AI-generated content may not be eligible for copyright protection in all jurisdictions and that model outputs may incidentally resemble existing copyrighted works. You are solely responsible for reviewing Generated Content before publishing or distributing it.

You agree not to use the Service to:

• Generate, upload, distribute, or store any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Create content that exploits, harms, or attempts to exploit or harm minors in any way
• Generate content that infringes upon any patent, trademark, trade secret, copyright, or other intellectual property rights of any party (including the rights holders of Happy Horse 1.0 themselves)
• Engage in unauthorized face-swapping or deepfake creation that impersonates real individuals without their consent
• Produce content that promotes violence, discrimination, or hatred against any individual or group based on protected characteristics
• Generate explicit sexual content, pornography, or depictions of sexual abuse
• Create content intended to spread misinformation, disinformation, or propaganda
• Represent AI-generated content as human-created without proper disclosure
• Impersonate HappierHorse, Happy Horse Studio, Alibaba Group, the ATH AI Innovation Unit, or any official Happy Horse 1.0 channel
• Input sensitive personal data (such as racial or ethnic origin, political opinions, religious beliefs, health data, or biometric data) into the Service
• Use any automated system, including bots, spiders, or scrapers, to access the Service without our express written permission
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use the Service to send unsolicited commercial communications (spam)
• Use the Service in any manner that could disable, overburden, damage, or impair the Service

We reserve the right to remove any content that violates these restrictions and to suspend or terminate your account immediately, without prior notice, for any violation.

Fees

Certain features of the Service require a paid subscription. Current pricing and plan details are available on our Pricing page. We reserve the right to change our fees and billing methods at any time upon reasonable notice.

Billing

Payments are processed through Stripe, our third-party payment processor. By providing payment information, you authorize HappierHorse and Stripe to charge the applicable fees to your payment method. Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless canceled before the renewal date.

Cancellation

You may cancel your subscription at any time through your account's billing settings. After cancellation, your subscription will remain active until the end of your current billing cycle. No further charges will be applied after cancellation. No partial refunds or prorated credits will be issued for unused time or mid-cycle cancellations.

All intellectual property rights in the Website, the Service, and any content provided by HappierHorse — including but not limited to software, text, graphics, logos, icons, and the HappierHorse brand — are owned by Happy Horse Studio or its licensors. You are granted no rights or licenses in these materials except as expressly stated in these Terms. You may not copy, modify, distribute, or create derivative works based on any part of our platform without our prior written consent.

The name “Happy Horse 1.0” and any associated marks belong to their respective rights holders. Nothing in these Terms grants you any right, license, or interest in those third-party marks.

Any feedback, suggestions, or ideas you provide to HappierHorse regarding the Service (“Feedback”) will become the exclusive property of Happy Horse Studio. You hereby assign all rights in the Feedback to Happy Horse Studio and agree that we are free to use such Feedback without any obligation or compensation to you.

Termination by You

You may request to terminate your account at any time by contacting us at support@happierhorse.org. Upon termination, your right to access and use the Service will immediately cease.

Termination by HappierHorse

We may terminate or suspend your account or access to the Service, with or without notice, for any reason, including but not limited to violation of these Terms, suspected fraudulent activity, extended inactivity, or discontinuation of the upstream Happy Horse 1.0 model.

Effect of Termination

Upon termination, all licenses granted to you under these Terms will immediately terminate, and you must cease all use of the Service. Any accrued rights or obligations will survive termination, including those related to payment, intellectual property, indemnification, and limitation of liability. We are not obligated to retain your Generated Content after account termination.

Content generated through the Service is produced by the upstream Happy Horse 1.0 model. HappierHorse is not the developer or operator of this model and has no control over its outputs. We do not guarantee the accuracy, completeness, appropriateness, or legality of any Generated Content. AI-generated outputs may contain errors, biases, inaccuracies, or content that resembles existing copyrighted works. You are solely responsible for reviewing, verifying, and ensuring the lawful use of any Generated Content before publishing, distributing, or using it for any purpose. HappierHorse and Happy Horse Studio shall not be liable for any claims arising from your use of Generated Content or from the outputs of the upstream model.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. HAPPIERHORSE AND HAPPY HORSE STUDIO DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPPY HORSE STUDIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF HAPPIERHORSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO HAPPIERHORSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Happy Horse Studio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your Generated Content; or (d) your infringement of any intellectual property or other rights of any third party, including the rights holders of Happy Horse 1.0.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware.

• Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and HappierHorse regarding the Service and supersede any prior agreements.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect.
• Waiver: The failure of HappierHorse to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms or any of your rights or obligations under these Terms without our prior written consent. Happy Horse Studio may freely assign these Terms without restriction.

We may update these Terms from time to time. When we make changes, we will revise the “Effective Date” at the top of this page. We encourage you to review these Terms periodically. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.
